Quality Buyers, Quality Deals

Why the right buyer matters more than the highest offer
When selling a business, it is tempting to focus on the highest offer received. However, an attractive purchase price does not automatically translate into a successful transaction. The buyer's financial position, commitment, experience and ability to fulfil the terms of the agreement are equally important. A successful business sale is not simply about finding a buyer. It is about finding the right buyer.
What makes a quality buyer?
A quality buyer is someone who has the financial means, genuine intention and practical ability to complete the transaction. While every business sale is different, several factors help distinguish a serious buyer from someone who may struggle to proceed.
- Proof of funds: The buyer can demonstrate access to sufficient funds to meet the agreed purchase price and associated costs.
- Financial readiness: The buyer understands the funding requirements, working capital needs and potential additional investment required after taking over the business.
- Genuine commitment: The buyer is willing to engage constructively, provide the necessary documentation and make decisions within reasonable timeframes.
- Relevant experience and capability: The buyer has, or can acquire, the skills and resources required to operate the business successfully.
- Realistic expectations: The buyer understands the business's strengths, risks and financial performance and approaches negotiations on a commercially reasonable basis.
Why the highest offer is not always the best offer
Consider two buyers interested in the same business. One offers a higher price but requires extensive financing, lengthy conditions and uncertain approval. The other submits a slightly lower offer, provides credible proof of funds and proposes clear, achievable terms. Although the first offer may initially appear more attractive, the second buyer could represent a significantly stronger prospect for the seller. The structure of an offer matters just as much as the price. Deposit arrangements, financing conditions, payment schedules, warranties, suspensive conditions and the proposed transfer date can all influence the likelihood of a successful conclusion. A poorly structured deal can result in delays, renegotiations or a failed transaction, potentially costing the seller valuable time and causing genuine alternative buyers to lose interest.
The importance of buyer qualification
Proper buyer qualification helps establish whether a prospective purchaser is financially and practically positioned to proceed before significant time and confidential information are invested in the process.
This includes assessing the buyer's financial capacity, understanding their acquisition objectives and ensuring that appropriate confidentiality and compliance requirements are met. For sellers, this creates a more focused process and reduces unnecessary disruption. For buyers, it helps establish realistic expectations and allows them to concentrate on opportunities that genuinely suit their objectives and resources.
